Overview: 

RockWood Equity Partners LLC is a private equity investment firm that partners with management teams to acquire and build companies with sales typically between $10 million and $100 million. We believe that investing in companies in this size range offers the best opportunity to create long-term value through growth — generated internally as well as through targeted acquisitions — and through operational improvements. RockWood typically invests in niche manufacturing, value-added distribution and business service companies.

Founded in 1999 with offices in New York and Cleveland, RockWood invests its own capital together with capital provided by a select group of investment partners, which include high-net-worth individuals and institutions. RockWood invests in transactions that provide liquidity for owners, raise capital for growth and create significant ownership opportunities for managers and employees.

RockWood's Investment Philosophy

RockWood makes controlling or significant minority equity investments in companies that present an opportunity to create long-term value through growth and on-going operational improvements. RockWood pursues companies that occupy defensible market niches with fundamentally sound businesses, but which may not be realizing their full potential. We are committed to growing companies through product or market expansion, add-on acquisitions and increased re-investment.

As investors, we believe that value is created throughout the entire life-cycle of an investment: the initial investment, over our ownership period, and upon the realization of that investment. We play an active role in each of these stages:

Due Diligence and Capital Structure. At the initiation of an investment, RockWood performs a detailed examination of the company's market position, product offering, competitive advantages and weaknesses, growth prospects, customer and supplier relationships and the company's management team. Our objectives in this phase are to arrive at an appropriate valuation, to structure the acquisition properly to provide financial flexibility, and to understand the key variables underlying the company's strategic growth plans.

Partnership with Management. During our ownership, we work closely with our management partners in defining a clear set of short and long-term goals for the company and in creating and executing a well-defined strategic plan that focuses on growth and operational enhancements. Although our investment team brings our experience and insights to the investment process, we are not operators. Instead, we view our role as supporting management teams as they operate their businesses and execute their companies' strategies. We work actively to help our management partners identify and negotiate acquisitions, finance growth, and recruit additional management resources.

We believe that it is important for our management partners to have a meaningful ownership interest in their companies in order to align incentives and to allow mangers to share in the value that they create. Accordingly, management is given the opportunity to invest alongside RockWood at the time of the transaction and to earn performance-based equity.

Investment Horizon and Exit. RockWood is a patient, long-term investor. Building valuable, world-class businesses can take time, but we believe it is time well spent. Because we are investing our own capital and are not subject to the typical investment partnership's cycle of fund expiration and fund raising we have the ability to hold investments over extended investment horizons. When the time comes to achieve liquidity, we work closely with management to realize the value that has been created.
