Overview:

Intesa Sanpaolo is a new banking group resulting from the merger between Banca Intesa and Sanpaolo IMI. It has clear leadership in the Italian market and a strong international presence focussed on Central-Eastern Europe and the Mediterranean basin. Intesa Sanpaolo intends to become a benchmark for the creation of value in the European banking sector.

The new Group brings together two major Italian banks with shared values and improves their opportunities for growth as well as enabling enhanced service for retail customers, significant support for development of business customers and an important contribution to growth in all the countries where it operates.

Intesa Sanpaolo is among the top banking groups in the euro zone, with a market capitalisation exceeding 70 billion euro*, and the undisputed leader in Italy, with an average market share of approximately 20% in all business areas (retail, corporate and wealth management). Thanks to a network of approximately 5,500 branches capillary and well distributed throughout the country, with market shares of more than 15% in most Italian regions, the Group offers its services to approximately 12 million customers.

History:

Société Européenne de Banque was established on 2 June 1976 in Luxembourg.

Since December 1999, Société Européeene de Banque has been a member of Gruppo Intesa.

On 1 January 2002, Société Européenne de Banque absorbed the activities of Banca Intesa International in Luxembourg.

From January 1, 2007 S.E.B. is a member of Gruppo Intesa Sanpaolo.
Intesa Sanpaolo was created on January 1, 2007, through the merger of two leading
Italian banking groups, Banca Intesa and Sanpaolo IMI. The first steps toward the
merger process were taken on August 26, 2006, when the Boards of Directors of the
two banks approved the guidelines for a merger plan. The plan was then agreed by
the Boards on October 12 and ratified by the Extraordinary Shareholders' Meetings
of the two banks on December 1 of the same year.
