Overview:
The activities of the Luxembourg office are not just limited to the national practice of law, but also include international elements on a daily basis. We service both Luxembourg and multinational clients across a wide variety of practice areas, working for public authorities both locally and internationally.
In addition to investment funds and corporate transactions or structuring, our Luxembourg lawyers also advise in the financial services and investment management sector generally, banking and finance, mergers and acquisitions, company and commercial law, contracts, capital markets and offerings of securities, restructuring and labor law.
In the investment fund area, we advise clients on determining the most effective fund structures and thus advise on the incorporation, on-going compliance and eligibility of investments of Luxembourg UCITS, “part II” funds, risk-capital funds (SICAR), securitisation vehicles and specialised investment funds (SIF), including hedge funds, funds of funds, real estate funds. We also assist with the registration and on-going compliance process for foreign UCITS in Luxembourg.
Furthermore, we advise clients on M&A transactions, private equity transactions and the use of Luxembourg corporate structures.
Financial services matters that we can assist clients on include advice on public offerings, private placements, the setting up of professionals of the financial sector, share holding disclosure requirements and listing on the Luxembourg Stock Exchange.
Our Luxembourg-based lawyers, admitted to the Luxembourg Bar Association, have first hand experience working with local regulators, be it in relation to new laws or rules implementing European directives or otherwise.
