   * JPMorgan Chase, one of the world's leading financial institutions, relied on our Corporate/Finance and Tax teams to handle a critical aspect of its acquisition of Bear Stearns – the sale of a portfolio of assets formerly owned by Bear Stearns to a newly-formed Delaware limited liability company (LLC), the sole managing member of which is the Federal Reserve Bank of New York. The LLC purchased the assets with the proceeds of two loans, one from the New York Fed in the amount of $28.82 billion and the other from JPMorgan Chase in the amount of $1.15 billion. The portfolio of assets is pledged to secure the repayment of the loans and will be managed by BlackRock Financial Management, Inc. under guidelines established by the New York Fed.
   * Credit Suisse Securities called on our Business Litigation team to defend it in multidistrict litigation arising from the collapse of National Century Financial Enterprises (NCFE) and its affiliates. In March 2008, five of NCFE's executives were convicted on 40 counts of securities and wire fraud, conspiracy to commit fraud and money laundering. The cases, which involve securities backed by healthcare receivables, are pending in Arizona, New Jersey, New York and Ohio.
   * GlaxoSmithKline, one of the world's leading pharmaceutical companies, retained our Tax Litigation team to represent the company in what is considered to be the largest single tax case in U.S. history. The case, which the firm successfully settled, involved alleged tax deficiencies in excess of $4.5 billion relating to transfer pricing adjustments by the IRS.
   * Matt Walsh, the former videographer for the New England Patriots who found himself in the spotlight in connection with the "Spygate" investigations by the National Football League and Senator Arlen Specter, entrusted our White Collar/Investigations and Enforcement team to assist him in this high-profile matter. The firm negotiated an unprecedented indemnification agreement with the NFL that provided legal and financial protection for Mr. Walsh prior to his disclosure of evidence to the NFL commissioner and his meeting with U.S. Senator Arlen Specter regarding the Patriots' violations of NFL rules. The firm's careful counsel and crisis management skills helped Mr. Walsh successfully navigate intense public pressure from the NFL, Senator Specter and the national media.
