A report given by qualified analysts or advisors providing to key decision makers an evaluation of and facts about a merger or Acquisition.
    
It serves as a document used for Guidance in a merger, takeover, or Acquisition. Basically, it's a professional opinion supported by collected data. It is a professional evaluation by an investment bank or other third party as to whether the terms of a merger, Acquisition, buyback, spin off, or going private are fair. It is done for a fee.
